Consob approva il Documento di Registrazione, la Nota Informativa e la Nota di Sintesi relativi all’aumento di capitale in opzione
Bergamo, 9 giugno 2017. UBI Banca S.p.A. (l’“Emittente” o la “Società”) comunica che, in data odierna,
Consob ha approvato il Documento di Registrazione sull’Emittente e la Nota Informativa e la Nota di Sintesi
(congiuntamente il “Prospetto”) relativi all’offerta in opzione e all’ammissione alle negoziazioni sul Mercato
Telematico Azionario, organizzato e gestito da Borsa Italiana S.p.A. (“MTA”), delle azioni ordinarie
dell’Emittente rivenienti dall’aumento di capitale in opzione.
Come già comunicato, i diritti di opzione che daranno diritto alla sottoscrizione delle azioni ordinarie UBI
Banca di nuova emissione (i “Diritti di Opzione”) dovranno essere esercitati, a pena di decadenza, dal 12
giugno 2017 al 27 giugno 2017, estremi inclusi (il “Periodo di Opzione”). I Diritti di Opzione saranno inoltre
negoziabili sul Mercato Telematico Azionario (“MTA”) dal 12 giugno 2017 al 21 giugno 2017, estremi inclusi.
I Diritti di Opzione non esercitati entro il 27 giugno 2017 saranno offerti dalla Società sul MTA entro il mese
successivo alla fine del Periodo di Opzione per almeno 5 giorni di mercato aperto, salvo che non siano già
stati integralmente venduti, ai sensi dell’articolo 2441, comma 3, del Codice Civile (l’“Offerta in Borsa”).
L’indicazione delle date delle riunioni in cui l’Offerta in Borsa sarà effettuata verrà fornita tramite specifico
avviso.
Il Prospetto sarà reso disponibile, nei modi e nei termini di legge, presso la sede legale di UBI Banca, in
Bergamo, Piazza Vittorio Veneto n. 8, nonché sul sito internet dell’emittente www.ubibanca.it.
