Conclusa con anticipo l’offerta in Borsa dei diritti di opzione non esercitati
Bergamo, 30 giugno 2017. Facendo seguito al comunicato stampa diffuso in data 27 giugno 2017, UBI
Banca rende noto che nel corso della prima seduta dell’offerta in Borsa tenutasi in data odierna sono stati
venduti tutti i n. 6.676.180 diritti di opzione non esercitati nel periodo di offerta (i “Diritti Inoptati” o “Diritti”),
che attribuiscono il diritto alla sottoscrizione di n. 1.144.488 azioni ordinarie di nuova emissione UBI Banca (le
“Azioni”).
L’esercizio dei Diritti Inoptati acquistati nell’ambito dell’offerta in Borsa e, conseguentemente, la
sottoscrizione delle Azioni dovranno essere effettuati, a pena di decadenza, entro e non oltre il terzo giorno
di Borsa aperta successivo a quello della presente comunicazione di chiusura anticipata e, quindi, entro il 5
luglio 2017.
I Diritti Inoptati saranno messi a disposizione degli acquirenti tramite gli intermediari autorizzati aderenti al
sistema di gestione accentrata di Monte Titoli S.p.A. e potranno essere utilizzati per la sottoscrizione delle
Azioni – aventi le stesse caratteristiche di quelle in circolazione e godimento regolare – al prezzo di Euro
2,395 per azione, nel rapporto di n. 6 Azioni ogni n. 35 Diritti.
Si ricorda che: (i) nel corso del periodo di offerta in opzione, iniziato il 12 giugno 2017 e conclusosi il 27
giugno 2017, sono stati esercitati n. 967.529.640 diritti di opzione e, quindi, risultano già sottoscritte n.
165.862.224 azioni UBI Banca di nuova emissione, pari al 99,31% del totale delle nuove azioni offerte, per
un controvalore complessivo pari a Euro 397.240.026,48; e (ii) l’offerta rimane assistita, a termini e alle
condizioni di cui al contratto di garanzia (c.d. underwriting agreement), da un consorzio di garanzia
composto da Credit Suisse, Banca IMI (Gruppo Intesa Sanpaolo), Banco Santander e Mediobanca.
